The Stack Overflow Network (also referred to herein as "Stack Overflow" or "Network") is a set of related Internet sites and other applications for questions and answers, owned and operated by Stack Exchange, Inc. ("Stack Overflow", "we" or "us"), a Delaware corporation. Stack Overflow welcomes you to the Network, the largest community of developers in the world and invites you to participate in the community by sharing knowledge with your peers and colleagues. To that end, we provide you with these terms of service to advise you of the legal obligations you assume when you engage with the Stack Overflow community or otherwise access or use the Network or any services provided on the Network (collectively, "Services"). These terms govern the use of the private Network (the "Private Network Terms").

If you are solely using the public Network, please see the Public Network Terms as they apply to your use of the public Network.

1. Private Network Terms

Please read these Private Network Terms carefully before accessing or using the private Network or any related Services.

If you are creating or administering an account on the private Network, these Private Network Terms constitute an agreement between Stack Overflow, the company, team, group, or entity that you represent ("Entity", "Company", or "Team"), and you, the individual person accepting these Private Network Terms ("Entity Representative") on behalf of the Entity and governs Company's and Team's permitted use of the private Network and any Services. By registering for an account and accepting these Private Network Terms, Entity Representative represents and warrants that they are authorized to bind the Entity and hereby agrees to bind such Company or Team to these Private Network Terms.

If you are accessing the private Network by invitation from Entity Representative ("Authorized User", "You" or "Your") acting in their capacity as an Authorized User, you represent and warrant that You have read these Private Network Terms and agree to be bound by these Private Network Terms.

Stack Overflow reserves the right, at its discretion, to modify these Private Network Terms at any time by posting revised Private Network Terms on the private Network. If we make a material change to these Private Network Terms, Stack will provide Entity Representative with reasonable notice of such material change (materiality to be determined solely by Stack Overflow), and provide Entity Representative with an opportunity to review the modified Private Network Terms prior to such material changes going into effect on the date listed in the modified Private Network Terms. If Entity Representative accesses or uses the private Network, Services or Products following such effective date, such access or use shall constitute acceptance of the modified Private Network Terms.

2. Contracts are Binding and Legally Enforceable — Please Read!

As stated above, these Private Network Terms constitute an agreement between Stack Overflow, Entity and You and governs Entity's and Your use of the private Network. These Private Network Terms do NOT govern the use of our Talent, Enterprise and other Stack Overflow products and services. In the event of any conflict between the terms and conditions of these Private Network Terms and any such service or licensing agreements, the terms and conditions of the Private Network Terms shall prevail.

3. Access to the Private Network

Stack Overflow reserves the right to refuse, suspend or terminate Entity's and/or Your access to the private Network if it determines, in its sole discretion, that Entity or You have in any way violated these Private Network Terms or are otherwise ineligible to access or use the private Network, Services, or Products. If Entity's or Your actions are determined by us to violate these Private Network Terms, Stack Overflow may, in its sole discretion, try to remediate that violation by working with Entity Representative, but is under no obligation to do so, and if any such remediation efforts are unsuccessful (in Stack Overflow's sole discretion), then Stack Overflow may revoke Entity's and/or Your rights to the private Network. Entity and You are solely responsible for ensuring that these Private Network Terms are in compliance with all laws, rules and regulations applicable to Entity and to You, and the right to access the private Network or any Services or Products is revoked where these Private Network Terms or use of the private Network or any Services or Products is prohibited or conflicts with any applicable law, rule or regulation.

4. Private Content Permissions, Restrictions, and Ownership Provisions

Content posted to the private Network by You ("Private Content") is and shall remain the proprietary property of Entity. Entity remains solely and exclusively responsible for Private Content, including without limitation any claims of infringement or any harm that arises in connection with posting such content, notwithstanding any terms contained herein to the contrary. Stack Overflow will protect Private Content by maintaining administrative, physical, and technical safeguards as described in our Data Security Policies, which are incorporated herein by reference. You hereby acknowledge and agree that Stack Overflow has no responsibility for the public display of Private Content if disclosure occurs as a result of any action on behalf of You, including any action by Representative or Authorized User or where Stack Overflow is not in material breach of such Data Security Policies. Please note that account registration information including your display name and other material collected for account registration purposes may be displayed publicly in accordance with our Privacy Policy. Additionally, You hereby acknowledge and agree that Stack Overflow shall retain the right to disclose any Private Content in connection with the following:

  • Comply with law enforcement inquiries and legal actions
  • Meet legal and regulatory obligations including data privacy laws

Where such disclosure is compelled, Stack Overflow will make reasonable efforts to notify Entity Representative unless expressly prevented from doing so by law.

Private Content is intended for knowledge sharing activities between authorized parties and Stack Overflow will generally not interrupt or interfere with such activities. However, Stack Overflow does not condone the use of the private Network for the following activities, and reserves the right to refuse access to You or any Authorized User where You or Authorized User:

  • Engages in spamming or automated and uninvited communications outside of the private Network
  • Harasses or threatens any person, party or entity within or outside of the private Network
  • Creates a false identity to impersonate another individual or entity
  • Knowingly and maliciously posts false, inaccurate, or incomplete material
  • Uses any account to copy, download, or scrape any Personal Profile Content or private Network content which is not expressly authorized by these Private Network Terms (we expressly permit data port upon account termination)

Such activities shall constitute a material breach of these Private Network Terms and may result in a warning or account termination in Stack Overflow's sole discretion.

5. Entity Representatives, Obligations and Licensing Terms

Where Entity Representatives, or Authorized Users, engage with the Stack Overflow Network on behalf of Companies and Teams or operate on behalf of such an entity (i.e., when using a company email address), the Company or Team is responsible for ensuring that the individual(s) creating the Company or Team account have reviewed these additional Private Network Terms. The Entity Representative will, in their official capacity, have the ability to designate authorized users and to deprovision users under the Company or Team account.

6. Entity Representative Use of the Private Network

Subject in each case to their compliance with these Private Network Terms, Entity Representatives may:

  • Entity Representatives will have the right to access the private Network and provision or deprovision authorized users on behalf of the Entity, and Entity Representatives will have the right to control content submitted to the private Network, manage account permissions and settings, and make purchasing decisions on behalf of the Entity.
  • Entity Representatives will have the right to control and own the use and processing of Private Content posted by them or their Company or Team on the private Network. This right is subject to the obligations contained in these Private Network Terms, including payments as detailed. Entity's ownership over its content remains its proprietary content. This means that if Entity decides to no longer use the Stack Overflow private Network, Stack Overflow will make the content available to Entity Representative in a downloadable format within a reasonable amount of time following the Entity Representative's notification to us that Entity no longer wishes to continue use of the private Network.

Stack Overflow will use reasonable efforts to make the private Network available 24/7/365, but from time-to-time we will have scheduled outages for maintenance purposes and other upkeep. Where feasible, we may, in our sole discretion, make efforts to inform you about any outages and report on the nature and reason for any outages that may occur in an open and transparent manner, though we are under no obligation to do so, and in any case shall not be liable in connection with any downtime.

7. Entity Representative Obligations

  • Entity Representatives will be required to register for and administer the account on behalf of Company or Team and accept the Private Network Terms on behalf of the Company or Team. Acting on behalf of the Company or Team, Entity Representatives will have primary responsibility for enforcing these Private Network Terms, and for responding to any content concerns or issues that may arise, however, if Stack Overflow determines that these Private Network Terms have been violated, we reserve the right to terminate an Authorized User account, or Entity account in the event you cannot or refuse to rectify such violation.
  • In order to host your private Network content, you hereby grant and agree to grant to Stack Overflow a non-exclusive, perpetual, worldwide, royalty-free license and right to host, display, use, process, export and commercially exploit as well as any Private Content you provide in order for Stack Overflow to:
    • Provide, maintain, and update the private Network
    • Process lawful requests from law enforcement and government agencies
    • Prevent and respond to security incidents
    • Provide support and technical assistance as may be required or requested
    • Aggregate data usage analytics
    • Associate Entity account with Entity, which in the case of a Company or Team with a name and trademark includes a revocable license to host and display such trademark during Subscription Term
  • Use of the private Network may incur fees and payment obligations where specified during the account registration process. Please note that any payment terms presented to you in the process of using or signing up for an account are deemed part of these Private Network Terms. Any such fees and payment obligations must be maintained throughout the Subscription Term (as defined below) of the Entity's use of the private Network and payment information must be maintained at all times such account remains active. Fees will be stated upon checkout, and the applicable Entity Representative will be responsible for paying all fees. Entity Representative authorizes Stack Overflow to charge Entity payment in accordance with the payment details listed in your account. All amount paid are non-refundable and in the event of an increase or decrease in your payment obligation the fees payable by you will increase or decrease in accordance with such modification.
  • We use a third-party payment processor (the "Payment Processor") to bill for use of the private Network and/or Services. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Private Network Terms. We are not responsible for error by the Payment Processor. By choosing to use the private Network and/or Services requiring payment, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any such use in accordance with the applicable payment terms and you authorize us, through the Payment Processor, to charge your chosen payment provider (your "Payment Method"). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that it makes even if it has already requested or received payment.
  • The payment obligations consist of an initial Subscription Period (as defined below) for which there is a one-time charge, followed by recurring period charges as agreed to by Entity Representative. By choosing a recurring payment obligation, you acknowledge that the private Network and/or Services have an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. WE MAY SUBMIT PERIODIC CHARGES WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE WE REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO YOUR TEAM'S SETTINGS PAGE. Your non-termination or continued use of the private Network and/or Services reaffirms that we are authorized to charge the payment method provided by you for that use, and that we may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the private Network and/or Services.
  • Unless you provide notice of non-renewal, any subscription for Services or access to the private Network for which you have signed up for will be automatically extended for successive renewal periods of the same duration as the Subscription Term (as defined below in Section entitled Term and Termination) originally selected at the then-current non-promotional rate. If you terminate a subscription, you may use that subscription until the end of your then-current Subscription Term and your subscription will not be renewed after your then-current Subscription Term expires. You will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current Subscription Term.
  • In conjunction with Company or Team registration, you grant to Stack Overflow the right to use your Company name, trade name, and trademark or service mark (including logos) for marketing and promotional purposes. If Company or Team does not wish for Stack Overflow to use their name, trade name, trademark or service mark or logo for marketing or promotional purposes, Entity Representative may withdraw such consent by sending an email to: teams-support (at) stackoverflow.com.

8. Term and Termination

a. General

When completing Company or Team account registration, Entity Representative will select a subscription term period which may be monthly or annual ("Subscription Term"), and these Private Network Terms shall each remain effective until all subscriptions ordered have expired or been terminated by Entity Representative, and some shall remain effective even after expiration or termination, as outlined below. Termination of these Private Network Terms by Entity Representative will end all subscriptions for the Entity. In the absence of such termination by Entity Representative, or by Stack Overflow for cause as described below, all subscriptions will automatically renew unless expressly indicated to the contrary in the applicable subscription order form, and no check-out or renewal order form shall be required for additional term period renewals as indicated on any active order form(s). Either the Entity Representative or Stack Overflow may terminate the subscription term by giving notice before the end of a subscription term, in which case such subscription shall not renew.

b. Termination for Cause

In the event of a material breach of these terms by Stack Overflow, Entity Representative will notify us of such material breach at legal (at) stackoverflow.com and Stack Overflow shall have thirty (30) days to rectify such breach, and in the event it fails to do so, your sole and exclusive remedy is described below. In the event Entity, or any Entity Representative or Authorized User is in material breach of these Private Network Terms, Stack Overflow may terminate the applicable subscription or account, place a hold on the applicable account, or permanently ban such Company, Team, Representative, or Authorized User from use of the public and private Network in its sole discretion upon notice and without appeal.

c. Effect of Termination

Where Stack Overflow is in material breach of these Private Network Terms and cannot rectify such material breach within thirty (30) days, Stack Overflow will refund to Entity account any prepaid fees for the remainder of the Subscription Term for the applicable subscription Services. Where Entity is in material breach, no refund will be provided for the remainder of any subscription services.

Stack Overflow will permit Entity Representative to export private Content from the services at any time during the Subscription Term and upon termination, will make such material available for a reasonable amount of time following termination, but will have no responsibility (unless legally obligated) to make such download available to Entity Representative beyond ninety (90) days from termination and Stack Overflow shall not be liable for any loss of content or destruction of content beyond this ninety (90) day period following termination.

9. Confidential Information

Except as otherwise provided in these Private Network Terms, all Private Content constitutes the Confidential Information of the Entity providing such content, and shall be held in confidence and not disclosed directly or indirectly without Company or Team's prior permission, to the extent prevention of such disclosure is within Stack Overflow's reasonable control. This confidentiality obligation shall not apply to Private Content that:

  • Is disclosed by Company or Team member intentionally or unintentionally by placing such private Content in the public through no fault of Stack Overflow
  • Is required to be disclosed pursuant to regulation, law, subpoena or court order or as may be required by applicable law or regulation including data privacy laws. Unless Stack Overflow is prevented from providing advanced notice in the event of a law enforcement disclosure we will make all reasonable efforts to notify Entity Representative in the event of a law enforcement disclosure.

For the avoidance of doubt, Stack Overflow's confidentiality obligations shall survive the Subscription Term. In order to minimize liability for the safe-keeping of Entity's Confidential Information, Stack Overflow may delete such Confidential Information in part or in whole following ninety (90) days after termination of Company or Team account and Entity Representative is solely responsible for the retrieval, download, and storage of such Confidential Information beyond this ninety (90) day period following account termination.

10. Warranties and Disclaimer

EACH PARTY REPRESENTS AND WARRANTS THAT IT HAS THE LEGAL POWER AND AUTHORITY TO ENTER INTO THIS AGREEMENT AND THAT COMPANY AND TEAM REPRESENTATIVE ENTERS INTO THIS AGREEMENT BY AN EMPLOYEE OR AGENT OF SUCH ENTITY WITH ALL NECESSARY AUTHORITY TO BIND SUCH ENTITY TO THESE ENTITY TERMS.

OTHERWISE, TO THE EXTENT PERMITTED BY LAW, AND NOTWITHSTANDING ANY INDEMNIFICATION OR CONFIDENTIALITY OBLIGATIONS PROVIDED IN THESE ENTITY TERMS OR IN A SEPARATE WRITTEN AGREEMENT THAT REFERS TO AND BY ITS TERMS EXPRESSLY SUPERSEDES THESE ENTITY TERMS, STACK OVERFLOW PROVIDES THE NETWORK, SERVICES AND PRODUCTS ENTITY TERMS ON AN "AS IS" BASIS, AND EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF NON-INFRINGEMENT, TITLE, FITNESS FOR A PARTICULAR PURPOSE, FUNCTIONALITY, OR MERCHANTABILITY, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

11. Limitation of Liability

IN NO EVENT SHALL STACK OVERFLOW AND ITS AFFILIATES BE LIABLE TO COMPANY OR TEAM OR ANY REPRESENTATIVE OR AUTHORIZED USER THEREOF FOR ANY (I) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER (HOWEVER ARISING), (II) ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, OR (III) ANY DIRECT DAMAGES THAT EXCEED IN THE AGGREGATE EXCEED THE LESSER OF (A) THE TOTAL AMOUNT PAID BY COMPANY OR TEAM TO STACK OVERFLOW IN CONNECTION WITH THE NETWORK, SERVICES, AND PRODUCTS IN THE MOST RECENT TWELVE (12) MONTH PERIOD OR (B) THE YEARLY FEE THAT COMPANY OR TEAM PAID FOR ACCESS TO THE NETWORK, SERVICES OR PRODUCT. THIS LIMITATION OF LIABILITY SHALL APPLY TO ALL CLAIMS OF LIABILITY (E.G., WARRANTY, TORT, NEGLIGENCE, CONTRACT LAW) AND EVEN IF STACK OVERFLOW OR ITS AFFILIATES HAVE BEEN TOLD OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE. TO THE EXTENT THAT APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATION OF LIABILITY OR EXCLUSION OF LIABILITY, SUCH LIMITATION WILL APPLY TO THE FULLEST EXTENT OF THE LAW.

12. Indemnification

Stack Overflow will defend Entity against any claim brought against it by a third party alleging that a Service or Product used as authorized under this Agreement infringes a United States or European Union patent or registered copyright ("IP Claim") and we will indemnify Entity and hold such Entity harmless against any damages and costs finally awarded by a court of competent jurisdiction or agreed to settlement by Stack Overflow (including reasonable attorneys' fees) arising out of a Claim, provided that we have received from Entity Representative each of the following:

  • Prompt written notice of the IP Claim
  • Reasonable assistance in the defense and investigation of such claim, including Company or Team providing Stack Overflow a copy of such claim and all relevant evidence in Company or Team possession and
  • The exclusive right to control and direct the investigation, defense, and settlement (if applicable) of the IP Claim

If Stack Overflow, in its sole discretion, determines Entity's use of the Services or Products are likely to be enjoined, or if required by settlement, or in the event Entity's Services or Product use is likely to create material liability, we may:

  • Procure a license for Entity to continue to use the Services or Products in accordance with these Private Network Terms
  • Substitute a Service or Product with substantially similar functionality, or
  • Terminate Entity's access to such Services or Products and refund any license fee paid by Entity for the terminated portion of the Services or Product on any outstanding and unfulfilled order form

13. General Provisions

a. Assignment and Jurisdiction

Entity may not assign this agreement without our prior written consent. Stack Overflow will not unreasonably withhold our consent if the assignee agrees to be bound by the then-current Private Network Terms. Stack Overflow reserves the right to assign our rights and obligations under these Private Network Terms (in whole or in part) without Entity's consent to a corporate affiliate, or in connection with a merger, acquisition, corporate restructure or reorganization, or due to the sale of all or substantially all of our assets.

These Private Network Terms will be governed by and construed in accordance with the applicable laws of the State of New York, without giving effect to the principles of that State regarding conflicts of laws. Each party irrevocably agrees to the sole and exclusive personal jurisdiction of the Courts of the State of New York with respect to any action, suit, or proceeding brought by it or against it by the other party. Notwithstanding the foregoing, these Private Network Terms shall not prevent either party from seeking injunctive relief with respect to a violation of the confidentiality provisions and indemnification provisions contained in these Private Network Terms. The United Nations Convention for the International Sale of Goods does not apply to these Private Network Terms. No shrinkwrap or click-wrap terms contained in any purchase order or any Company or Team generated supplier or vendor form shall apply to or supersede these Private Network Terms without the express written consent of Stack Overflow.

b. Survival

The sections entitled "Private Network Terms", "Contracts are Binding and Legally Enforceable -- Please Read!", "Company and Teams Representatives, Obligations and Licensing Terms", "Private Content Permissions, Restrictions, and Ownership Provisions", "Entity Representative Obligations and Licensing Terms", "Notices", "Confidential Information", "Warranties and Disclaimer", "Limitation of Liability", "Indemnification", "Assignment and Jurisdiction", "Survival", "Merger and Severability", "No Waiver", and "Headings" shall survive any termination or expiration of these Private Network Terms.

c. Modifications

Stack Overflow reserves the right to modify these Private Network Terms as our business evolves over time and to better provide Services and Products to the Stack Overflow community. If we make a material change to these Private Network Terms, Stack will provide Entity Representative with reasonable notice of such material change (materiality to be determined solely by Stack Overflow). Entity Representative can review the modified Private Network Terms prior to such material changes going into effect, and such changes will go into effect on the date listed in the modified Private Network Terms. If Entity Representative accesses or uses the Services or Products following such effective date, such access or use shall constitute acceptance of the modified Private Network Terms.

d. Merger and Severability

The parties to these Private Network Terms are independent contractors and these Private Network Terms shall not be construed to constitute any legal association between the parties creating any employment relationship. These Private Network Terms represent the entire agreement between Entity and Stack Overflow and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Services or Products offered hereunder (including any Alpha or Beta Agreements). If any provision of these Private Network Terms is held to be invalid, void, unenforceable, or contrary to public policy, the remaining provisions of these Private Network Terms shall remain and continue in full force and effect.

e. No Waiver

Our failure to enforce any part of these Private Network Terms shall not constitute a waiver of our right to later enforce that or any other part of these Private Network Terms. Waiver of compliance in any particular instance does not mean that we will waive compliance in the future. In order for any waiver of compliance with these Private Network Terms to be binding, we must provide you with written notice of such waiver through one of our authorized representatives.

f. Notices

Unless otherwise specified in these Private Network Terms, all notices under these Private Network Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service. Electronic notices should be sent to legal (at) stackoverflow.com.

g. Headings

The section and paragraph headings in these Private Network Terms are for convenience only and shall not affect their interpretation.
